BRITTANY A. TARAZONA
Brittany Tarazona’s practice involves a broad range of litigation matters, including employment claims, trade secret litigation, deceptive trade practices actions, contract disputes, and complex business cases. Brittany has extensive experience litigating in state and federal courts, as well as representing clients in arbitral forums and before administrative agencies, in both Florida and New York. Her experience includes representing clients in the agricultural, automotive, construction, healthcare, insurance, restaurant, and resort industries, among others.
In addition to her litigation practice, Brittany also provides employment law counseling and advice to clients, and drafts employee handbooks, restrictive covenant agreements, arbitration and class action waiver agreements, separation agreements, and executive employment contracts for her clients.
During law school, Brittany served as a Federal Court Judicial Intern for U.S. District Judge Paul C. Huck and as a State Court Judicial Intern for Judge Robin Rosenberg (prior to her federal appointment).
Representative Experience
Employment-Related Claims – Defended wide range of public and private employers in wage and hour, harassment, discrimination, and retaliation claims in administrative proceedings, arbitrations, and state and federal courts. See, e.g., Singh v. RXR 620 Master Lease, LLC, No. 21-1092-CV, 2022 WL 2187206, at *1 (2d Cir. June 17, 2022) (affirming dismissal of discrimination and retaliation claims); Froio v. Monroe-Woodbury Cent. Sch. Dist., No. 17-CV-604 (CS), 2020 WL 2731970, at *10 (S.D.N.Y. May 26, 2020) (granting summary judgment on disability, Rehabilitation Act, and related claims)
Employment Agreement Litigation – Defended prominent law firm in high stakes federal court litigation and prosecuted related arbitration proceedings arising under the firm’s former partners’ employment agreements. The former partners claimed an interest in approximately 8,700 of the firm’s veteran benefits claims which involved attorneys’ fees exceeding $40 million. The federal court ruled in the firm’s favor and the arbitrator rendered an award for the firm. See, e.g., Werner v. Gordon & Partners, P.A., No. 23-81139-CV-DMM, 2023 WL 9472291, at *1 (S.D. Fla. Sept. 12, 2023).
Employee Commission Litigation – Obtained dismissal with prejudice of state and federal wage claims alleging that the employer unlawfully changed the employee’s commission structure and successfully defended that dismissal on appeal. See Gross v. Cap. One, N.A., 167 N.Y.S.3d 103, 105 (2022).
Non-Compete and Trade Secret Matters – Prosecuted and defended restrictive covenant and trade secret claims for both employers and employees, including defense of nutritional supplement company against breach of noncompete, tortious interferences, trade secret, and related claims.
M&A Litigation – Defended buyer of one of the nation’s largest food recycling companies in litigation alleging the parties’ stock purchase agreement did not lawfully close, the seller did not transfer all the equity to the buyer, and the seller was responsible for multiple years of federal income tax payments. Obtained summary judgment in favor of the buyer on each of those claims.
Securities Litigation – Represented publicly registered alternative fuel company in defense of hostile takeover attempt by the company’s largest unit holder. After the unit holder refused to close on a $30 million agreement for the repurchase of his interest in the company, the unit holder attempted to take control of the board of directors and filed a variety of claims against the company, members of its board, and the company’s management, including state and federal securities fraud claims, breach of fiduciary duty claims, claims to enjoin investor votes, and claims alleging certain proxy statements were misleading.
Fraud Litigation – Represented multinational produce import/export company in pursuing fraud and tortious interference claims against Dutch-based wholesaler involving millions of dollars’ worth of fruit shipments to the defendant.
Deceptive Trade Practices Litigation – Defended national consumer service provider against Lanham Act false advertising/unfair competition and deceptive trade practice claims asserted by its largest competitor. The competitor sought a permanent injunction and damages in excess of $21 million, alleging that certain sales personnel employed by companies which transact with our client had made misrepresentations to at least 150 consumers across the country.
Class Action Defense – Represented clients in putative class actions for violations of state and federal consumer protection laws, including claims under the Telephone Consumer Privacy Act, Fair Debt Collection Practices Act, and Florida Consumer Collection Practices Act.
